The Walt Disney Co. finally unloaded its ABC Radio assets in a $2.7 billion deal on the same day it showed an increase in first-quarter earnings.

ABC Radio, which includes 22 radio stations and the ABC Radio Networks, will merge with Las Vegas' Citadel Broadcasting Corp., forming Citadel Communications, which will be the third-largest radio group in the U.S. Citadel Communications will have 177 FM and 66 AM stations under its umbrella, including KABC-AM and KLOS-FM in Los Angeles. The deal also moves ABC Radio Networks into the fold, which creates and distributes programming to more than 4,000 affiliates nationwide. The programming includes syndicated radio programs such as Paul Harvey News and Comment, The Sean Hannity Show and The Tom Joyner Morning Show.

This is why I never commented on any of this BS from the very beginning! It was clear that Radio Disney and ESPN would not be part of the deal from the very first mention of a deal being worked out!

Billboard Radio Monitor is a trade, right? And even they had belief that Radio Disney and ESPN would go to Citadel (see <a target="_blank" href=http://www.billboardradiomonitor.com/radiomonitor/news/business/top_news/article_display.jsp?vnu_content_id=1001918363>http://www.billboardradiomonitor.com/radiomonitor/news/business/top_news/article_display.jsp?vnu_content_id=1001918363</a>).

So I wouldn't generalize that everyone who read the trades was expected to presume that the chips would fall as they did.

Perhaps I posted that less obviously, but the article states that ABC Radio owns 72 stations (which would have to include the Radio Disney/ESPN O&Os) and that stations would need to be spun off in Providence and Little Rock (because of Radio Disney O&Os).

I'd never really thought myself that the sale would include the networks, but this article certainly threw me off a bit, at least that there would be a possibility that the networks could be included.

In your vitriol, don't leave out some mainstream media "business" writers who either didn't know what they were talking about (likely), and/or wrote very badly (more likely), and/or had bad editors who didn't know what the writers were saying and didn't really care either (most likely).

Radio Monitor is a music tip sheet. Management and investors and such do not read it. I can not, for one, recall ever reading it.

Every trade source of credibility including RBR, Inside Radio and others repoorted the facts: Iger and Eisner both said that the ESPN and Radio Disney assets and net were not in the deal.

Justin, you have to be careful what you read and interpret and post. Your higly inaccurate statement about KSCA in LA in the SD board had two totally wrong statements in one single sentence. Your cred is on the wane.

Justin...UNLESS Citadel currently owns the ESPN and/or Radio Disney stations in the markets you just mentioned (which is, I admit, quite conceivable), you've just LOST what little credibility you had.

First off, WHERE does it say that ABC Radio owns 72 stations? Last time I was at the ABC Radio website, they only had TWENTY (20) or so. As such, if ABC actually owns 72 stations, WHERE ARE THE REMAINING FIFTY TWO (52)??

Secondly, it has already been mentioned that Radio Disney and ESPN **ARE NOT** a part of this deal. What part of that do you fail to understand?

Lastly, EVEN IF Citadel DOES own the Radio Disney and/or ESPN Radio affiliates in Providence & Little Rock, there's NOTHING in so far as I can see precluding them from keeping these stations if they so choose EVEN THOUGH they *basically* are (or will be) ABC Radio.

Which they were to a large extent.

Justin...You really should check out All Access @ http://www.allaccess.com/ They're a more reliable information source and, unlike Billboard, they aren't genre specific.

In Providence and Little Rock, a merger of ALL Citadel and ABC stations led Billboard Radio Monitor (which I am no longer reading, by the way) to believe that one station would need to be spun off in each of these two markets.

Citadel owns several stations in Providence and Little Rock, and ABC owns one in each. Yet apparently the writer was not even checking the maximum station ownership, because I have since learned that they would have been able to pass in Providence (and likely in Little Rock as well).

ABC/Disney owns 72 stations as we speak. 22 stations are being sold to Citadel; those are every AM and FM not affiliated with ESPN or Radio Disney. 45 of the ABC/Disney stations are Radio Disney O&Os, and will stay with ABC/Disney. 5 of the stations are the ESPN Radio O&Os, and they are staying with ABC/Disney as well.

So yes, ABC/Disney owns 72 stations.

Obviously Radio Disney and ESPN are not part of the deal. I'm responding to the comments far below by KMRichards, who claimed that anyone who read the news over the past few weeks regarding the deal, would have forseen how Radio Disney and ESPN would not be sold. The Billboard Radio Monitor story (which I now recognize to be very poor journalism) was just a statement that that was not necessarily the case.

In Providence, Citadel owns the station with the ESPN affiliation (WSKO 790/WSKO-FM 99.7), but that will almost certainly stay the same; I can't see why it would change.

Citadel doesn't own the Radio Disney affiliates in either market; it's ABC/Disney that has owned the affiliates in both markets. The story was that if the merger did include Radio Disney, the new Citadel would be forced to spin-off a station in each market. As Radio Disney and/or ESPN were not included, things will stay the same.

I've changed my ways. I've always checked All Access and Radio and Records, but I was drawn into any reporting that I'd seen regarding the deal. Billboard clearly didn't know what they were talking about; the author probably stole the story from somewhere else and misinterpreted it when writing.

This is where Justin's dependence on the poor reporting of Billboard Radio Monitor caused a problem. <u>They</u> said ABC Radio owned all 72 stations, and Justin quoted them.

My suggestion, when checking a story of any magnitude, is to read all possible sources and then fact-check any discrepancies at the websites of the companies involved. Had you done that, you would have found that while ABC/Disney (including all corporate divisions) owns 72 radio stations, the ABC Radio division owns only 20 of the total.

Now ... Justin has been called out on his statements, he has been honorable and identified his source as unreliable, and we've all had the discussion on how lousy a job BRM did in reporting. Could we stop nitpicking and stop making Justin feel worse?<P ID="signature">______________
