Exclusive: Sinclair approaches Tribune Media about possible deal - sources

Sinclair to spin off Tribune stations in NYC and Chicago

http://www.tvnewscheck.com/article/111389/sinclair-to-spin-off-trib-tvs-in-ny-chicago

To win regulatory approval of its acquisition of Tribune Media, Sinclair is planning to spin off two of the biggest stations in the Tribune portfolio — WPIX New York and WGN Chicago — as well as KSWB San Diego, according to Sinclair’s latest FCC filing on the deal.

This is big!

I'm surprised Sinclair didn't spin off stations in smaller markets and keep these two.

From Variety--Fox is set to buy at least six stations from Sinclair/Tribune, once the dust settles on the latter deal. Among the six stations, three are former Fox O&Os (WJW Cleveland, KSTU Salt Lake City, KDVR Denver), two are original charter affiliates, one of which is a long-awaited acquisition (KTXL Sacramento and KCPQ Seattle), and a wild card (WSFL, Miami's CW affiliate). Pretty certain that in South Florida, we'll see an affiliation swap between WSFL, WSVN (the current Fox affiliate), and WBFS (the current MyNetworkTV affiliate, owned by CBS).

There is speculation that Fox would also get KSWB in San Diego.

I guess they figured they needed to offer something meaningful to get regulatory approval especially in light of the DoJ action against the AT&T deal. AT&T offered no meaningful divesitures to allay antitrust concerns. I don't believe this would include divesting WGN-America though.

In Miami, would that mean:
WSFL: CW -> FOX
WBFS: MNT -> CW
WSVN: FOX -> news-intensive independent similar to sister station WHDH (possible MNT clearance overnight)

If MNT doesn't end up on 39.2 ("Fox South Florida +," perhaps?), I'll be surprised. I think Ansin's experience in Boston with WHDH should give him confidence that WSVN can survive just fine as an indie.

Since Sinclair owns nothing in Kansas City right now they will keep KDAF which is currently owned by Tribune.

The above examples are where Sinclair cant have a duopoly

edit: I was wrong. There is no duopoly in Cleveland. Looks like those examples 4 of the 6 are in NFL markets.. I know FOX wanted Seattle for a while as FOX liked to own the stations in the NFC markets. Now with "flex scheduling" where the old rules of "AFC road team on CBS, NFC road team on FOX" is out the window this makes it good for FOX to get some stations in AFC markets.

Except they still intend on operating the stations.

Sounds like they'll end up at Cunningham Broadcasting and/or Deerfield Media.

The plan seems illegal. Entercom was not allowed to run and profit from the radio stations it sold to EMF and iHeart.

True but Sinclair has a history of using third party tv station license holders like Cunningham and Deerfield to take ownership of the divested TV Stations while Sinclair Step in and produce local newscasts for them. And yes its to get around the ownership rules.

There's also a dream catcher television the third party license holder for WNEP they hold licenses but Tribune step in and produce local news for them.

It's the third parties thats also at play here when it comes to this deal.
