Time Warner’s up nearly 20% in pre-market trading after The New York Times and CNBC reported that the media giant recently rejected an $80B takeover proposal by Rupert Murdoch‘s 21st Century Fox.

UPDATE. 6:46 AM: Time Warner confirms that it rejected 21st Century Fox‘s acquisition offer saying its board concluded that remaining independent “will create significantly more value for the Company and its stockholders and is superior to any proposal that Twenty-First Century Fox is in a position to offer.”

Despite Time Warner rejecting the first offer, Rupert Murdoch isn't giving up.

Even so, Murdoch and his advisers are unlikely to abandon the pursuit, a second person close to the situation said, pointing out that he has the "disciplined determination" to get a deal done.

Fox estimates that a combined company, which would have $60 billion in annual revenue, would save $1 billion in costs and possibly more, primarily by cutting sales staff and back-office functions, the people familiar with the matter said.

They said detailed negotiations with Time Warner could reveal much higher synergies than $1 billion, which may then justify sweetening the offer.

A deal may win the blessing of many of Time Warner's shareholders, a majority of whom also own Fox's non-voting stock.

Fox has no desire to go hostile or to bid against itself with a higher offer, the people familiar with the matter said.

The deal makes a lot of sense for Time Warner shareholders, said Ken Griffin, founder and chief executive officer of Citadel Investments Group, which owns shares in both companies.

Speaking at a conference in New York, Griffin said there was no controlling shareholder in Time Warner, meaning the company could easily go into play. “It’s going to be tough to say no,” he said.

Interesting....so it would link two old Hollywood names: Fox and Warner Brothers. If memory serves, the two were partners in KFWB at one time back in the day.

It would also bring CNN and Fox News under the same umbrella. That could be interesting.

The combined assets would be incredible. TW has been in a selling mood lately. The latest being TW Cable.
 
Fox has said that they would spin-off CNN.

I'd imagine there would be a lot of spin-offs. CBS might want CNN. They are short on established cable channels, unlike NBC-Universal. And there already is some synergy between news departments.

Among the assets, Fox also get the MGM movie library that Turner bought many years ago.
 
The problem is, the new company would run three broadcast TV networks: the WC, Fox, and MyNetworkTV.

Do you really think that they'd keep all three of those networks running? They'd keep Fox of course, but the other two are ripe for either a sale, a merger, or one of them just shutting down.
 
Since MyNetworkTV was almost always dead last in the Nielsen ratings, it may be terminated once the affiliate deals expire.

The CW is doing okay with new hits such as "Arrow" and "The Vampire Diaries".

Fox would only have a 50% stake in The CW. It wouldn't be a problem, since MyNetworkTV isn't even a network. Still, they'd probably sell their stake to co-owner CBS, or Tribune.
 
The merger, should it be approved, would probably be finalized just as the 10-year affiliation deals for The CW are expiring. Would be a good time to overhaul/relaunch whatever comes next.

The most interesting part of this is who winds up with CNN, what happens to sister HLN, and if any of the other TW networks would be rebranded/overhauled to better fit into the Fox portfolio.
 
Comcast bought Universal/NBC. I don't see much difference. FOX is just a small group of diverse companies under the News Corporation umbrella.

Not so, the print media went to News Corp. The broadcasting is under 21st Century Fox.

I would keep HLN and use it at Fox. For example, I'd bring back The Fox Report at 7pm and put it on HLN. I even wish they would put it on FBN or big Fox now.
Keep news on HLN while the opinion shows are on FNC at night. They could even on the weekends do a delayed west coast feed of Fox & Friends on HLN.
 
It's all owned by News Corporation. I should know. I retired from FOX. My FOX business card says "A News Corporation Company."
 
You are correct. I have not received the information from FOX as yet .... that is why I was so (wrongly) sure. Please accept my apologies for my error.
