Clear Channel agrees to $19 billion takeover

What will this mean for Clear Channel's international interest's? They have a 50% stake in the Australian Radio Network (ARN), down here. With them being cashed up, and Australian media laws about to change to allow 100% foreign ownership. Could they make a play for full control of this and other companies in other countries?

Clear Channel can do any thing it wants and usually does. If it is in their best financial interest to take over a foreign company, they will do so.

I hope they lose their investment interests and programming influences in XM now as a result. Ah, I can only hope.

Surprisingly, there are very few Southeastern markets on the block, none of them in Georgia. So, that must mean CC will keep all of its stations in the Peach State, right? Does anybody know?

Unfortunately no bargains if this opinion by a broker is to be believed.


"Veteran broker Frank Boyle tells R&R he expects the pricing on this sale to be a lot like what CBS pushed through when it put its stations out for bid last summer. In Boyle talk: “Steep.” “I think there will be some steep pricing and I think they will drive a hard bargain,” Boyle says. He also expect that Goldman, Sachs & Co. will ride herd on the sale and that “for brokers like myself, we’ll not be on the first two or three tiers, it’ll be the Wall Street guys [who get first pick at the inventory]. Then it’ll get down to 10 or 15 guys like me who have an inventory of ready buyers.”

And all we need is another media conglomerate.

"...could spawn the beginning of a new ownership era for many individuals and groups, Blackburn and Boyle tell R&R. Boyle says that with so many stations being available for purchase at once, the “emergency of four-to six new groups that would use this as seed groups” is possible. Blackburn acknowledged that, while remote, there is always the chance that a company might come “out of nowhere with zero stations and [buy] 100 or 200 stations.”

Out of nowhere like Peak Broadcasting that has just purchased CBS Radio's Fresno, CA. cluster for $90 Million dollars cash. CEO Todd Lawley says this is only their first purchase and that Peak will begin programming the stations under an LMA in December. And be sure to watch for Cherry Creek Radio to buy many more stations along with all the other usual suspects.

Clear Channel's business model for small markets is a miserable failure. There are no "economies of scale" to be had in small markets because people who live in small markets don't WANT big city radio. They ignored satellite-fed pap in large numbers, and revenues dropped as a result.

The top of the broadcasting market is past. New technologies are going to impact radio as we know it, and companies that structure themselves as content providers, instead of broadcasters, will succeed. Others will continue to bleed to death slowly as listeners drift off to other technologies.

th lee and bain capital are 2/3 of cumulus media partners. now how are they able to be owners of cc or am i just out of touch with what is going on with fcc ownership rules. will there be crossownership problems down the rd? i don't understand this.

I was talking to a friend of mine who works for a Clear Channel cluster on the East Coast and he was saying that the Victorville, CA group (which is on the block) had been enjoying a 33% increase in revenue. So some rising media conglomerate will find them attractive and pay dearly for them.

Victorvile has 31 stations, and $12 million in revenue. That is a bout $400,000 per station in revenue... or about half the gross sales of an average McDonalds. Average household income is below that of any other CA metro, and it is national market 127, yet in billings it is not in the top 150.

33% of nothing is nothing. It's about the most horrible market in the entire US.

Generally, the shares of such investment companies are made non-voting, so they have no control over the licences.
 
Mays Family Says Thanks...

There is also some federal scrutiny of T.H. Lee and Bain Capital's role in the CC purchase. The sale of 400+ stations as part of the deal may be an attempt to avoid conflict of interest charges.

There's also a shareholder lawsuit being filed in Texas because some CC shareholders feel that the price per share is too low. Analyst evaluations put the value per share at $36 - $40, so those shareholders may have a point.
