The difference is that Clear Channel is involved in a "transfer of control." When Emmis acquired the LBJ/Sinclair cluster, it was a few months prior to the FCC changing its ownership rules. So, Emmis doesn't have to spin anything off. Clear Channel may or may not have to do so. If the FCC decides this "transfer of control" results in a different company acquiring Clear Channel, spinoffs will be required. If it doesn't, they will not.
