Entercom buys WBEB

So I honestly don't see much of a problem between WBEB and WTDY. WBEB would skew older, WTDY is almost pushing CHR at this point. MY question is separating out WOGL from WBEB. Would WBEB leave the 80s to OGL and shift even younger sounding? Thus sending WTDY even more towards CHR?

Well, until they can find something else to do with it, they're stuck with Hot AC on 96.5 regardless. haha. And the WBEB/WOGL dynamic is yet another problem with having Entercom own 101.1. Both stations sound great right now but if they're to be co-owned, there's going to have to be tweaking at one, the other, or both. #NoThanks I got to hear 96.5 a few days ago in the car and I thought 'Sure, make it sound like a CHR. Because that worked out so well before. Maybe they should just go All '80s and call it The Point.' haha. But yeah, it's gonna have to go the way you said (101.1 '90's to Now [maybe fewer currents?], WOGL '80s and '90s, and WTDY basically doing what WISX was doing before they got Real).

We'll see. It'll be fun to see how all this shakes out. (I just hope no layoffs. Let's keep everyone employed please!)

I hope for the same but I realize it would be nothing short of a miracle if Entercom doesn't trim something somewhere. It's what radio companies do, after all.

By keeping 96.5 Hot AC, Entercom might be able to prevent a competing group from launching its own Hot AC.

Although, given the 12+ and 18-34 ratings mentioned elsewhere on this board for Q102 and 96.5, you have to wonder whether any other group would find it worth it to flip a station to Hot AC. iHeart abandoned Hot AC on 106 not too long ago.

I think Hot AC in Philly has a hard go of it because of the dominating strength of WBEB. Think back to Max 95.7, Mix 95.7, Mix 106, Now 97.5, Star 104.5, Today's 96.5 even the last days of 96.5 The Point when they were essentially Hot AC. WBEB took all of them on, adjusted as needbe, and killed it.

Of course it DOES help that Philadelphians are extremely loyal to things. Like the Action News theme, or the KYW ticker sound.

I wonder if these station sales will have any real effect on formats in Philly. Maybe some small changes to playlists of WOGL, 101 and 96 that would be unnoticeable to the average listener - but that's it.

I've always wondered why any company thinks we need a Hot AC in Philly. Hasn't it been tried repeatedly since the '90s on multiple frequencies (and even multiple times on 95.7) only to find there isn't enough of an audience for it? Those demos seem to be satisfied here by WBEB and WIOQ. No need for Mix or Max or Philly's or My or another Mix. :) Keeping WTDY Hot AC so no one else will do it doesn't seem like good business in my opinion. But then again, what might be good business on 96.5? This market just seems different. I just don't see Entercom keeping WOGL, WBEB, and WTDY in their current formats. And WOGL and WBEB are obviously not going anywhere!

If I didn't take so long to write my messages on here, I'd have seen that you already made this point and I could have just gone about my business. haha

The 98/101 combo seems like good business to keep them basically as-is (keeping in mind evolution will always be in play). TDY...sure, they could try to differentiate that and have their cake and eat it too on all flavors of AC. Back to some version of CHR--they'd be the second player in the race, but it would be in a space they abandoned, and have a reasonable opportunity to re-enter with 101 in the fold. Country would be amusing.

This is a game they're currently playing in NYC with WNEW against iHeart's AC WLTW. Entercom is going for younger women with WNEW, while iHeart is heritage AC with WLTW. The competition has gotten a bit tough, with WNEW taking shots at the older station. We'll see how it shakes out in the next book. If they do the same thing in Philly without the negative imaging, it might offer a good choice for listeners.

Here's the memo from David Field, CEO of ETM, to employees

It is my pleasure to announce that Entercom is acquiring the legendary WBEB (101.1 More FM/B101) in Philadelphia. As many of you know, WBEB is one of the most award-winning stations in the US and has been the #1 rated station in Philadelphia for many years. It will be a terrific addition to our outstanding cluster that includes KYW Newsradio 1060, SportsRadio 94 WIP, 96.5 TDY , 98.1 WOGL and Talk Radio 1210 WPHT. Simultaneously, we will be selling WXTU, Philadelphia’s country station, to Beasley Broadcasting. I have attached a copy of the press release that just went out announcing the deal.

Since the first announcement of our transformational merger, we have been playing offense and making aggressive moves to enhance the organization and compete effectively against other media for much greater shares of advertiser spending. The addition of WBEB adds another leading brand to help us serve our listeners and advertisers.

I am also pleased to report that we continue to make great progress on the many company-wide initiatives and investments that we are pursuing to elevate our game. Our significant investments in our brands and content, new sales tools and systems, Radio.com, the Entercom Audio Network, new digital platforms and technology, the Entercom National Client Partnership team, advocacy, and data and analytics, are just a few of the areas in which we are making great strides..

I look forward to updating you on other important achievements and exciting developments in the months ahead.

Many thanks for all you are doing to lead us forward.

Here is the actual press release:

ENTERCOM ENTERS INTO DEFINITIVE AGREEMENTS TO ACQUIRE WBEB-FM 101.1 MORE FM AND DIVEST WXTU-FM 92.5 FM IN PHILADELPHIA

PHILADELPHIA, PA – July 19, 2018 – Entercom Communications Corp. (NYSE: ETM), a leading media and entertainment company and one of the two largest radio broadcasters in the U.S., today announced a definitive agreement to acquire 101.1 MORE FM (WBEB-FM) from Jerry Lee Radio, LLC in Philadelphia, PA for $57.5 million in cash. The company also announced that it has entered into an agreement to divest 92.5 XTU (WXTU-FM) in Philadelphia, PA to Beasley Broadcast Group, Inc. (Nasdaq: BBGI) for $38.0 million in cash. The transactions are immediately accretive to Entercom and are leverage neutral.

The acquisition of WBEB-FM, Philadelphia’s #1 rated station, is a complementary addition to Entercom’s existing portfolio of leading stations in the market that includes KYW Newsradio 1060, SportsRadio 94WIP, 96.5 TDY FM, 98.1 WOGL and Talk Radio 1210 WPHT.

“We are very pleased to add the legendary WBEB, one of the country’s most recognized and awarded stations, to our group,” said David Field, President and Chief Executive Officer, Entercom. “It is a terrific addition to our lineup that will enhance our ability to serve our listeners, customers and the community. I tip my cap to Jerry Lee, one of the industry pioneers and a visionary leader who built B101 into such a special station and has done so much for radio over the decades. We are saddened to say goodbye to our colleagues at WXTU, but know that they will be in great hands.”

A Local Marketing Agreement for WXTU will begin Monday, July 23. The transactions are expected to close by the end of the third quarter of 2018.

Entercom was advised by MVP Capital, LLC on the WBEB transaction. Methuselah Advisors acted as financial advisor to WBEB-FM.

What will happen to WTDY?? Format Flip??

WNEW, WPLJ, and WKTU are all Hot AC...

KTU is not Hot AC. They are more of a Rhythmic AC. Actually, looking at their playlist, I'm not even sure what to call them.

It would not surprise me one bit if WBEB reverts to the "B101" branding and increases the median song age.

I think Today's 96.5 will pretty much stay as-is.

The other option - albeit less likely, in my opinion - is for More FM to stay as-is and for 96.5 to flip to a Soft AC format.

At the end of the day, both stations will likely remain some form of AC, with 96.5 serving as a flanker to 101.1.

It would not surprise me one bit if WBEB reverts to the "B101" branding and increases the median song age.

Contrarian viewpoint: They will not touch the most successful FM in the market for the last 50+ years. Not a single song, not the name, not the image.

Entercom may better position other stations in the cluster for the best fit and to make sure that they don't expose an opening for a competitor.

Entercom is downright stupid if they do not retain Jerry Lee as a consultant for the initial operations period. Jerry's skill in researching the format and helping advertisers create the most effective commercials is legendary; Entercom could apply his skills to their other AC stations and profit greatly from the knowledge.

WBEB's battle has always been to stay in the 25-54 zone, with ongoing adjustments to avoid aging and occasional repositioning to refresh the image. They most certainly will not go backwards with older songs. They are #1 in 18-34 and #2 in 18-49, and #1 in 25-34 women, which is ideal for sales and for the future.

Entercom is buying what may be the best run music radio station in America. They'd reveal immense incompetence if they mess with it.

KTU is not Hot AC. They are more of a Rhythmic AC. Actually, looking at their playlist, I'm not even sure what to call them.

Just like we had AOR (Album Oriented Rock) KTU can be said to be EOA: Ethnic Oriented AC.

About 55% of the KTU audience is Hispanic and Black. It's also been seen to be the choice in that format area for most European immigrants (who come from a more rhythmic pop background). WLTW, by comparison, is around 1/3 ethnic... a far lesser proportion.

I don't see 96.5 staying as is. Going pop isn't going to happen remember Amp Radio that failed. Could see 96.5 The Sound and sound like The Sound Seattle. Or like someone said before country. 96.5 The Wolf. They had XTU and know the inside and out of it. Country wouldn't hurt I think.

From CountryAircheck.com:

Hot Air: No one is commenting officially, but WXTU PD Shelly Easton is expected to remain with Entercom. Look for 'XTU APD/MD Mark Razz to handle interim programming for the station upon its move to Beasley.
