Exclusive: Sinclair approaches Tribune Media about possible deal - sources

I don't know, Marc, ROH has established a pretty decent following, so getting on WGN gives its fans a good place to watch assuming it'll be on the WGN-A that is carried by cable systems and not just the local Chicago WGN.

Sinclair continues to increase the size of their conservative empire.

The company announced Today that they have agreed to buy Bonten Media Group and Cunningham Broadcasting Corporation has entered into a definitive agreement to purchase the membership interest of Esteem Broadcasting ("Esteem") for an aggregate purchase price of $240.0 million.

Bonten owns 14 television stations in 8 markets which reach approximately 1% of the U.S. TV households and provides services to 4 stations pursuant to joint sales agreements with Esteem Broadcasting. Completion of the transaction is subject to the satisfaction of customary closing conditions, including approval by the Federal Communications Commission.

The Company anticipates that the transaction will close and fund with cash on hand in the third quarter of 2017, subject to the satisfaction of the closing conditions.

The deadline is unlikely to change unless talks continue and are making progress as the deadline approaches if there is an apparent need for a short extension.

Fox Steps in the ring to get some of the Tribune stations.

Twenty-First Century Fox is in talks with private equity firm Blackstone to launch a bid to acquire Tribune Media, according to a report in the Financial Times on Sunday evening.

Per the report, which cites two sources familiar with negotiations, Fox and Blackstone would form a joint venture to acquire the conglomerate. According the Times, Blackstone would provide funding for the venture, with Fox contributing its own portfolio of stations.

The news comes after reports emerged earlier this month that Sinclair Broadcast Group, which has made no secret of its desire to acquire more stations, was interested in buying Tribune. It’s part of another wave of broadcast TV station mergers expected now that the FCC is on a course to loosen ownership restrictions.

James Murdoch, CEO of 21st Century Fox, previously told investors that his company was unlikely to embark on a big acquisition, even if the FCC cap on the number of stations a company can own was relaxed in the Trump administration. Meanwhile, a Bloomberg report last month said that Fox was looking to thwart Sinclair’s potential takeover of Tribune Media. The Blackstone arrangement would allow Fox to expand its station holdings without much cash outlay.

The bid would mark an offensive move from Fox, as Sinclair is already a large owner of Fox affiliates. If the Sinclair were to acquire Tribune, it would give the company control over 28% of Fox affiliates, according to Bloomberg. That would give Sinclair significant leverage in negotiations with the network over reverse compensation terms.

Tribune Media includes such assets as WGN America and Tribune Broadcasting, which owns or operates 42 local TV stations. Word of the interest in a Tribune transaction comes as Fox is already shepherding a $15 billion takeover of pay-TV broadcaster Sky, though the report from British regulators on the bid has been postponed until after the upcoming U.K. general election.

Umm how many stations does Fox have to sell to get some of the Tribune stations in question? My guess seems to be that Fox wants KCPQ Seattle because its in a NFC Market and Fox would need to sell KTBC, WOFL and WOGX for the deal to go through.

Wouldn't Fox have to sell WPIX, WGN, KTLA in order to buy Tribune as well. That would make FOX17 a FOX O&O which to me I wouldn't think Fox would want to be in a midsize market like GR. I think it is more to thwart Sinclair from buying Tribune more than anything else this is Fox's only way in do it buying Tribune. I wonder if Fox will divest WTTV CBS in Indy if they buy Tribune have a feeling that Fox will flip Tribune's CBS, NBC & ABC stations to FOX O&O's.

I forgot to add that Sinclair could give up FOX17 license and that Cunningham swoops in and take's FOX17 license which is Sinclair shell that all hinges on if Sinclair does buy Tribune but Fox has more money than Sinclair.

my two cents on the possible outcome of a Tribune buyout from Fox here in the Dallas/Fort Worth, TX TV Market, a market with a Fox duopoly with KDFW Fox 4 and KDFI My 27 as well as a Tribune owned station in KDAF CW 33.

if Fox does buy Tribune out instead of Sinclair, then that means either KDAF or KDFI would have to be sold here in the Dallas/Fort Worth market. and since one is a MyNetworkTV O&O, i can see KDAF be sold to another company.

if i'm Disney (the parent company of ABC, the only big 4 TV Network in the US to not have a O&O station in the DFW market as Tegna owns ABC affiliate WFAA and i wouldn't be surprise if Disney wants in the DFW TV market bad), Tegna (if not sold to Nexstar yet), Nexstar, Sinclair (they could still enter this market if Fox does beat them in the Tribune sweepstakes) and another major media company with no DFW TV station, then i better keep an eye on the possibility of KDFI or KDAF being sold off to help the Fox/Tribune merger to go though. cause there's no way Fox is gonna be allow to own 3 stations in the DFW market.
 
Good luck with that happening, since WGN is tied up with the deals and contracts they have with the Cubs, White Sox, and Bulls.
 
Isn't Monday when Tribune reports it's earnings wonder if that will be the day on who won the bid to buy Tribune which I think will be FOX that is buying Tribune.
 
I am hearing that Sinclar/Trib is not going to happen. Trib will instead sell to Fox, who wants the NFL markets in Seattle, Green Bay, and North Carolina. Shows the power of the NFL. Not finalized, but this seems to be the likely outcome.

Sinclair owns the FOX affiliate in Green Bay, so I'm guessing FOX will sell some of the Tribune stations to Sinclair in exchange for WLUK (and likely a few others)

Sinclair Broadcast Group Inc is nearing a deal to acquire Tribune Media Co after prevailing in an auction for one of the largest U.S. television station operators, people familiar with the matter said on Sunday.

Sinclair's offer values Tribune Media at around $44 per share, the sources said. Tribune Media shares ended trading on Friday at $40.29, giving it a market capitalization of $3.5 billion.

The acquisition would mark the first major deal between broadcasters since the U.S. Federal Communications Commission voted to reverse a 2016 decision that limits the number of television stations some broadcasters can buy.

Negotiations between Sinclair and Tribune Media have not yet been finalized, and there is still a possibility the deal will not be reached, the sources cautioned.
