I never get tired of...

...being wrong.

Citadel is taking the ABC radio network only 22 of the Disney/ABC radio stations, not the 70+ that everybody has been talking about the past few months. The "merger" deal is worth $2.7-billion and makes Farid Suleman the CEO of the new operation. The deal was reported by Bloomberg this afternoon:

In other news of me being wrong, the A's have made it official today, agreeing to add *BOTH* KYCY and KNTS to their radio network for the next three years. KVON/1440 in Napa will also join the network:

(That doesn't change the fact that KNTS' 145 watts at night will do nothing to help South Bay listeners right now.)

As I make dinner reservations for my close personal friends Mr. Eduardo and ProductionBoy, I'm going to predict that KGO and KSFO are going over to the Citadel/Disney side of the ledger and KMKY is staying on the Disney books.

But don't "ESPN Radio" and "Radio Disney" exist as programming entities unto themselves, separate from those ABC-owned stations on which ESPN & Disney programming airs? In other words, those 2 entities might not be part of the deal, but stations that carry them could be?

Well no, the Disney/Citadel Press release states that Radio Disney and ESPN
Owned stations stay with Disney. They own KMKY. Now I only work for ABC radio and here is what I know. Radio Disney Stations There are about 51 running the format. breakdown this way. Disney owns 39 outright.The remaining are leased freqencies or affiliats that take the Radio Disney Format. These stations were the reason the total ABC stations seemed to be in the 70's. They were listed as owned by disney/ABC. The ESPN format is carried by many as affiliates, the company owns a few stations outright. I do not know how many. The Joint Press release sent to ABC Radio employees clearly states that Radio Disney and ESPN Radio will remain part of Disney.

Citadel will get 22 ABC Radio O/O stations and the radio networks, that provide
4000 stations with news, information and music pgms. KGO,KSFO SF KLOS,KABC LA
are the west coast stations. 18 others in NY, Dallas, St. Louis, Atlanta, Minniapolis and Chicago and one more I've forgotten. Baltimore (I think)

The Disney Company will get 52% of the Newly created Merged Companies which will be known a Citadel Communications. It is a Reverse Morris Trust so Disney will not have any Tax Liability...ALSO, the deal includes 10 year licensing
agreements to carry ABC Programs on the ABC Stations...Hanity and Paul Harvey
for example...Making Paul Harvey about 132yo when the deal expires...Bad choice of word.

Now, what are 22 ABC Radio stations worth ? I think somthing like $122,000,000.00 each if you pay 2.7 Billion.

There were a couple of "I don´t care what Eisner and Iger told the board and stockholders" people on every board I visit. You were not alone in your denial of facts.

No, it is not. If it were a merger, either Disney or citadel would disappear, folded into the other corporation.

A merger is what Hispanic Broadcasting and Univision dis 4 years ago... HBC became part of UVN, and the HBC shareholders got UVN shares instead.

As it is, it is a Reverse Morris Trust, where the Diswney shareholders get 52% of Citadel in exchange for thier interest in the radio stations now onwed by Disney. Disney gets a vault full of money, and will have nothing to do with the stations at all. Citidel gives up a 52% interest in exchange bor doubling in size.

In a word, no. The ESPN net and the Radio Disney net are the programming and the O/O stations as part of brand extensions for each. They were not ever part of the ABC radio group.

None of the Radio disney or ESPN stations owned by disney were sold. Separate division, separate marketing concept.

I agree that merger isn't the appropriate term, but multiple trades reported it as a merger. Some may be confused by the quote from a Disney executive:

"Our ABC RADIO business represents a premier set of assets that have been exceptionally well-managed. ABC RADIO and CITADEL are a strong strategic fit that will create one of the country's largest radio station groups," said DISNEY CO. Pres. and CEO ROBERT IGER. "With this merger we have a unique opportunity to offer DISNEY shareholders ownership in a new radio leader that will be well positioned for long-term success."

In legal term, it is not a merger... but according to them it is. Makes no sense since Disney will have no hold in the company, and both will still co-exist. Weird. LOL

One Hundred Twenty-Two million for 560 KSFO??? Gene Autry and his wife are
"Spinning" in their graves at about One Hundred Twenty-Two Million miles per
hour! I bet!

So ... any fallout from the Citadel deal yet? Any news directors or other personnel on their way out at KGO Newstalk AM 810?

I wasn't denying the facts -- the majority of the posts (here and elsewhere), as well as the articles in the trades, said the following:

[1] That Disney/ABC was spinning off/selling/whatever their 71 (or 72 or 73) stations, and

[2] That the Radio Disney and ESPN Radio networks weren't included in the deal.

My point was that Disney/ABC could not sell 70+ stations without including at least a few Radio Disney and ESPN Radio *stations*. And, as it turned out, Disney/ABC only sold 22 stations.

And that is exactly what the two CEOs of DIS said they were doing all along.

In fact, the RBR analysis today quotes some Disney spokesperson as saying that they hope the deal gets done by the end of 2006.
