Nexstar becoming the largest U.S. TV Operator

KC has none closes is Joplin and Springfield. None of Mission Broadcasting/Nexstar stations have Antenna TV or This TV or TBN but would at least get Movies back to a full power station because KRBK has it and Quest to one because KSHB/KMCI has all Kratz stations and no way IONTV makes it on to a Sub channel KC area.

As expected, the American Cable Association has called on the government to cast a critical eye on the proposed $6.4 billion merger of Nextar with Tribune and says that without tough conditions and or divestitures, the deal should be blocked.

"Regulators should ensure that the proposed massive combination cannot use its clout - 216 stations in 118 markets reaching 72% of all U.S. TV households - to wreak havoc during the negotiation of retransmission consent contracts with multichannel video programming distributors (MVPDs)," said ACA president Matt Polka.

ACA opposed Sinclair's ultimately failed effort to merge with Tribune over similar concerns.

The FCC should apply the same requirements here as they intended to apply to Sinclair. I think there is less overlap so there'd likely be less need to divest, but Nexstar may need to sell some stations anyway to avoid carrying too big of a debt load.

Another take on the Nexstar talks

Nexstar Media Group Inc. is already attracting interest from private equity firms and rival media companies for a group of television stations that it’s promised to sell as part of its acquisition of Tribune Media Co., according to people familiar with the matter.

Cerberus Capital Management and Apollo Global Management LLC, as well as regional broadcasters EW Scripps Co., Gray Television Inc., Meredith Corp. and Tegna Inc., are circling the stations, which could fetch as much as $1 billion, said the people, who asked not to be identified because the details aren’t public.


A formal sale process is likely to start in coming weeks and the auction is expected to be completed by the time Nexstar’s merger with Tribune is slated to close in the third quarter of 2019, the people said.

Representatives for Apollo, Cerberus, Nexstar, Scripps and Tegna declined to comment.

A spokesman for Gray said the company will look seriously at every top-rated local television station that comes to market. A spokesman for Meredith declined to comment on specific situations, but said the company is always interested in properties that could add value.
 
I haven't seen where the company has actually identified the markets or stations it intends to spin off yet. Meanwhile, the FCC will begin discussing revising ownership rules next week. Perhaps there's a correlation.
 
Theirs Nexstar Stations in other parts of KS/MO but none in KC or even Central MO so no way WDAF gets spin off but adds a secondary Channel.
 
WCTX still counts as a separate station even though they are channel sharing with WTNH. Two stations still need to be spun off.

Now the issue of the DNC Lead House is bringing up uncertainty of the Tribune/Nexstar talks.

Then again, the House doesn't have the ability to unilaterally control the FCC. Sure they can call the FCC to testify, but unless they can get the Senate to agree with them about legislation, and get the president to sign it, it's just a lot of hot air.

There is nothing illegal about the merger, and nothing illegal about a newly merged company firing employees, although there is no proof such a thing will happen.

My predictions:

KOIN/KRCW will be together.
KUCW is with KTVX already and will remain that way.
I think WHO will do so much better with KCWI than with KDSM in terms of news. WOI will be alone.
KNWA/KFTA will be sold so that Nexstar can get the #1 in the market, KFSM/KXNW.
WHBF/KLJB will be kept together but WQAD gets KGCW.
WREG is bought, WATN/WLMT will be sold.
WOOD/WOTV/WXSP is kept, but WXMI gets sold.
Nexstar wants a station with more news, therefore WISH/WNDY over WXIN/WTTV.
Nexstar will take advantage here by getting WHNT and maybe partnering up with WHDF in that.
WTNH/WCTX remains with Nexstar meaning WTIC/WCCT are gone from their hands.
This one will be the tough one since Nexstar has owned WYOU since their founding and has WBRE together. But, WNEP is #1 in that market. A tough call on that one.
There's no way Nexstar would want WPMT. They'll want WHTM in check.
I see WDVM/WDCW together if it would take WDVM to finally reach its coverage area into D.C.
WTVR is much better than WRIC, meaning WTVR will be in Nexstar's hands.
WAVY/WVBT has long been #1. Nexstar would be stupid to take WTKR/WGNT instead.

Very likely. Fox had planned to buy a number of spinoffs had the Sinclair deal happened, so they are likely interested in a few now.

I'm reading that Sinclair may also buy some of the spins, especially in those medium and smaller markets.

FOX was mainly interested in markets with NFL teams. Only one in this bunch is Indy
 
From reading that article, they sound like they'd rather have FOX buying the station, as opposed to Sinclair. I seem to lean that way as well on this one.
