SBS Buys KROI for $7.5 million

If the sale closed late Wednesday, I would imagine there are logistics to transition operations from Radio One's studios to a new location where SBS has a studio and office, etc., which might be tough to do with people out of the office on a holiday. To Lance's point, there are probably working on getting something up after the holidays.

In terms of expecting a format change the moment the sale closes, LMN should have taught us all that doesn't always happen...

That’s true. I wasn’t sure if there was some rights issue that would legally prevent SBS from simulcasting KMJQ-HD2.
 
The station is ready to go. The studio is finished, and the Logs are done but again consider that the station will be promoted around the Morning show and that morning show has a non-compete that will be over in 2 weeks. I can confirm that no extension was needed, and we will see the newest regional Mexican station go on the air Before we see 2025. Also, consider that Univision Goes on vacation in December till the first week of January as I have said before. I can confirm all talents will be local and the sales team in place included some ex univision salespeople and some that had worked at Mega TV. Great Studios with a great view and plenty of space for growth. Why it took them so long to pay the 7 Mill that's one that I can't explain.
 
What I find most intriguing is the potential impact of this transition, the format, the music, the sales team, ratings, the on-air talent, and the splash it’s expected to make in the Houston market. It’s not every year we see a major market signal change hands or flip to Spanish. These moments are rare, which is exactly why they’re so captivating to watch unfold, even if we’re guilty of overthinking them at times.
This. Exactly. The flip of 92.1 is a major milestone in the market, one that is likely part of numerous upcoming changes. We already can be certain that further consolidation is on the way for the radio industry, and ever-changing technology and listener preferences are about to reshape the broadcast landscape here.

After 19 months of speculation we’ll finally have answers and clarity as to the future of 92.1, and we can discuss the actual new format and it’s impact on other stations in the market.

Also, once we finish talking about the “new” 92.1, we can then migrate over to the Gow Media threads and fill prodigious amounts of bandwidth discussing the future of KFNC.🤪🤪😂😂🤣🤣

And that morning show had died at its last station after being in decline for over two years in the core sales demos.

Nearly everyone does that, because no agency buys off the Holiday book.

The problem with the payment is simple. SBS thought they had extra money from the sale of their TV operation, and that sale fell through. All available cash went to the Tampa and St. Petersburg stations, and there was nothing left to finance the payment for Houston. No mystery there... just an asset sale by SBS that was never consumated.

I have heard talk that the Tampa SBS station may be spun off, as that is a terrible Hispanic market. That may be an element that permitted the closing... a bridge loan of some kind or more intricate mezzanine financing.
 
Listened to the midday local show on Praise for a while today, and still no mention of a change on 92.1. Fill-in host continues to refer to the station only as “Praise 92.1” with plenty of recorded celebrity drops also doing the same, though other recorded bits only reference 102.1 HD-2, as the station has been branded the past 18 months.

At a check just now, still no filings with the FCC for Notice of Consummation, or an amended APA.
 
True, but the FCC was open for business today. Plenty of filings and actions.

And you’d think Praise may want to redirect listeners to the HD-2, but Radio One probably has no idea when the flip will actually happen.

Just wait until this deal is finally concluded and they move on to the "phantom" sale that David Gow is apparently putting on, with no other confirmation besides one board member's somewhat educated guess, and who's been right about as many times as a broken clock on any given day.

A little speculation is ok for the boards because, frankly, it can be pretty entertaining. However, this just isn't. The dumpster fire at 92.1 is out, gentlemen. Just a little smolder from the ashes now. Please, if you'd just let everyone know when the Praise stops and the Norteños start, I think the majority of us will be satisfied. I'll do the same for y'all when the stunting stops and the 80's power hits start churning out at KVUT.
 
And now for some actual news from the just released SBS Q3 earnings report...

The purchase price is equal to $7.5 million plus or minus certain customary prorations and adjustments. On April 5, 2023, pursuant to the KROI Agreement and the related escrow agreement, SBS SouthWest deposited approximately $0.4 million into an escrow account.

SBS Southwest and Sugarland Station Trust, LLC, (the trustee charged with the management and sale of KROI(FM) on behalf of Radio One) have entered into amendments to the KROI Agreement providing the Company the right to delay the closing until a date that is no later than the first to occur of: (a) the date that is five business days prior to the last day that the FCC Consent is in effect, and (b) December 23, 2024. In accordance with our subsequent amendments to the KROI Agreement, we have released the initial deposit of $0.4 million from escrow and made additional payments of $6.0 million, as of November 29, 2024, which are all applicable towards the purchase price. As part of the most recent amendment to the KROI Agreement, the Company agreed to make the remaining payment of $1.1 million by the first to occur of the closing or December 23, 2024. As of September 30, 2024, there were $5.9 million of payments made to the seller, classified as prepaid expenses and other current assets on the Company’s Unaudited Condensed Consolidated Balance Sheets.

The Purchase Agreement contains customary representations, warranties, covenants and closing conditions, including FCC regulatory approval, and the transaction is expected to close during the fourth quarter of 2024.

If it were me (and I have "innaugurated" probably over 100 new stations and new formats) I'd pick January 6 and call it a "Regalo de Reyes" for the much observed 3 Kings Day. That would give it a memorable hook and something that would make press releases more interesting.

I know the sale of Mega TV fell thru, but shouldn’t they be big enough to already have $7.5 million on hand, regardless of any sale? I don’t understand.

Maybe they could even call the station "En Houston manda EL REY!" It would fit the KROI call sign, and since SBS regionals play a fair bit of gold compared to others, would invoke the great Vicente Fernández.

I guess the good news is they have lost a lot less money YTD this year vs YTD last year. But when your stock was de-listed and you trade on the penny exchange with a market cap of $3.4M and you are paying as much in interest on debt as your are making, the market is not very bullish on its future...

In the separate press release, it looks like more cost-cutting to come...
