Sinclair buying NBC 15 and UTV 44! WTF?

Wow, this is a shocker. Now the heads are rolling in the Mobile TV market. Hope this link works. I'm sure some of y'all will find better stories to link to.

Unlike radio, the TV market includes both Pensacola and Mobile. It seems like this purchase would violate the multiple TV ownership rules:

Local TV Multiple Ownership. The rule allows an entity to own up to two TV stations in the same DMA if either (1) the service areas – known as “Grade B signal contours” – of the stations do not overlap; or (2) at least one of the stations is not ranked among the top four stations in the DMA (based on market share), and at least eight independently owned TV stations would remain in the market after the proposed combination.

They already own WEAR and WFGX, so having WPMI added would mean they have two of the top four stations in the market. The PNJ article mentions that Deerfield Media the "right to buy license assets" and I'm sure that will be exercised and they'll operate as a LMA.
 
Researching "Deerfield Media" brings up about nothing. I assume Sinclair owns Deerfield media somehow. Isn't it against the rules to own 2 network affiliates in a market this size? If it isn't I would assume Sinclair would keep WEAR and WPMI and spin WFGX and WJTC of to, that apparent shell corp, Deerfield. In any case, I believe I'm reading that Deerfield will just hold the licenses and Sinclair will run the stations.... LMA like.

What does this mean for WPMI news? Would Sinclair possibly consolidate all 4 stations into the Mobile Hwy, Pensacola studios and do Mobile news from Pensacola? Weird. At least this ends the possibility of WPMI launching a NW Florida targeted 9PM news on WJTC to compete with WEAR.

This is a very good thing if Sinclair can get cable/sat/Uverse to carry WJTC in HD in time for SEC network football. Or just move the SEC network Football games to My 35.

I know it isn't possible for one company to own 4 full power TV stations in Mobile. Think one might wind up spun off to WKRG? Think another station owner in Mobile will object to the FCC?
 
This will add two more NBC stations to SBG, which currently has but one (WTWC).

BALTIMORE (July 19, 2012) -- Sinclair Broadcast Group, Inc. (Nasdaq: SBGI), the “Company” or
“Sinclair,” announced today that it has entered into a definitive agreement to purchase the broadcast assets of six
television stations owned and/or operated by Newport Television (“Newport”) for $412.5 million. The six
stations are located in five markets and reach 3.0% of the U.S. TV households. The transaction is subject to
approval by the Federal Communications Commission (“FCC”), and antitrust clearance. The Company
anticipates the closing and funding of the acquisition to occur no earlier than December 2012, subject to closing
conditions. Upon closing, the Company expects to finance the $412.5 million purchase price, less a $41.25
million deposit, through cash on hand along with a bank loan and/or by accessing the capital markets.
“In the past year, we have announced the acquisition of 23 television stations, representing the addition of
almost $1 billion in assets,” commented David Smith, President and CEO of Sinclair. “The Newport stations
acquisition is consistent with our focus of adding “big four” affiliates in mid-sized markets and strengthening
our in-market positions. Assuming our ability to create synergistic opportunities and given current market
conditions, we believe the stations will be free cash flow accretive and add approximately $55.0 to $60.0 million
of pro forma TV operating cash flow, on average, for 2012/2013. We are excited to add the stations to our
portfolio and look forward to welcoming the Newport employees to the Sinclair family.”
The stations to be acquired are:
WKRC (CBS 12) Cincinnati, Ohio (DMA 35)
WOAI (NBC 48) San Antonio, Texas (DMA 36)
WHP (CBS 21) Harrisburg/Lancaster/Lebanon/York, Pennsylvania (DMA 41)
WPMI (NBC 15) and WJTC (IND 45) Mobile, Alabama/Pensacola, Florida (DMA 60)
KSAS (FOX 26) Wichita/Hutchinson, Kansas (DMA 67)
Sinclair will also acquire Newport’s rights under the local marketing agreements with WLYH (CW 23) in
Harrisburg, PA and KMTW (MNT 35) in Wichita, KS, as well as options to acquire the license assets.
The Company has also entered into agreements with Deerfield Media, Inc. to sell Deerfield the license assets of
one of Sinclair’s stations in San Antonio (KMYS CW), and Sinclair’s station in Cincinnati (WSTR MY), subject
to FOX Television Stations purchase option with respect to WSTR which expires March 31, 2013, and to assign
Deerfield the right to buy the license assets of WPMI and WJTC in the Mobile/Pensacola market, after which
the Company will provide sales and other non-programming services to each of these four stations pursuant to
shared services and joint sales agreements.
Newport also broadcasts several secondary channels, including CW and MNT, among others, which will also be
acquired as part of this transaction.
Separately, the Company announced that it entered into an agreement to purchase the assets of Bay Television,
Inc. (Bay TV), which owns WTTA-TV (MNT) in the Tampa/St. Petersburg, Florida market, for $40 million.
Bay TV is owned primarily by our controlling shareholders. Since 1998, Sinclair has operated WTTA pursuant
to a local marketing agreement, which will be terminated upon closing. As this transaction is between entitiesunder common control, a fairness opinion was obtained by Sinclair’s Board of Directors. The transaction is
expected to close in the fourth quarter of 2012, subject to approval of the FCC.
 
Nobody carries WJTC in HD? I thought it was DirecTV in high def now. It's on Riviera Cable here in Foley in HD. It would be really weird for them to have a "one up" other area systems because it's such a sorry little system. No VOD, no cable internet, only about 30 HD channels… bad DVR hardware… and expensive as satellite with 1/3 the channels.
 
I don't know if WJTC is on Satellite... I check every year when football season starts to see if I can switch carriers to get it and no one had WJTC in HD last season. They aren't on UVerse or Mediacom now. Riviera was the first cable company to carry WJTC in HD (according to WPMI chief engineer) and was one of only two when I checked last football seasons. No network affiliation = No HD channel. WPMI doesn't have the pull to get it done even though they control the NBC feed and Newport wasn't all that concerned (wasn't helping much)... or so I was told by WPMI's chief engineer.

Now Sinclair has had 3 full power stations in Birmingham forever. I believe they got WFGX with a failing station waiver from the FCC.... hummm, I wonder if that failing station waiver could be grandfathered and WEAR, WPMI, WFGX and WJCT could actually remain a quadrupole? The press release says that Deerfield is going to have an option to buy WPMI and WJTC... sounds like a safety net in the contract to spin off one or both IF the FCC refuses to allow Sinclair to own three or four full power signals. The Cincinatti station is going directly to Deerfield, it's only the Mobile and Pensacola stations that are being bought directly by Sinclair with the option to sell to Deerfield.

I noticed that a couple weeks back. I didn't list it because until we hear WNTM on 99.5 it doesn't mean anything. I also find it very strange that 99.5 is still silent at this point.
Assuming CC only puts WNTM on one translator I'd place my bet on the Eastern Shore with music from a new HD-2 format in the city of Mobile. 99.5 going Hip Hop along the lines of the old K-104 could hurt BLX a little. It's only a 250 watt translator... why not go after #1?

I've not heard of an AM or HD-2 being rebroadcast by two translators... at least down here in Dixie and I don't pay attention to much outside of Dixie. This would be a great place and station to try it first... assuming the FCC would allow it. Humm, and I assume if 99.5 had a parent of WNTM and 100.3 had a parent of 96.1-HD2 then that problem is solved.

That is actually a very inaccurate decision. WABB-FM was sold to the Educational Media Foundation and was transformed into WLVM-FM, which was later given to Cumulus Media in exchange for WRQQ-FM (licensed to Belle Meade, Tennessee).
