WBD-Paramount Merger?

Warner Bros. Discovery and Paramount Global are having discussions for a possible merger. Will this create a mega-company or will this be a recipe for disaster?

congress will absolutely NOT let this happen

The problem for WBD and Paramount is the debt from mergers in the last 5 years. WBD has $45 billion and Paramount has $13 billion in debt.

It's hard to merge your way out of a debt problem.

So a shameful anti-creator company that is already drowning in debt, largely responsible for crippling labor stoppages with their CEO's anti-union rhetoric, and permanently icing studio output from their dying motion picture studio... wants to buy another studio conglomerate and thinks they'll just get their way because they possess magic wands or something.

Wall Street Brain Rot is real.

Not sure they will though. No other company (not even Disney) would own that many linear channels.

Off the top of my head, it faces regulatory hell in the EU, the UK and Chile alone. Plus Zaslav is utterly delusional/borderline insane if he thinks the deal can get through THIS FTC and DOJ. He's that desperate to remain in power.

Shari wins either way as Paramount stock gets juiced with this merger talk.

How? Warner Brothers Discovery doesn't own any broadcast stations or traditional broadcast networks.
Two major film studios under the same umbrella isn't anti-competitive enough? Or dozens and dozens of zombie cable channels? Or hogging up decades and decades of intellectual property that WBD is locking away for insurance payouts?

Disney-Fox (and WB-Discovery) only happened because the Trump DOJ and FTC was toothless and worthless. Those people are gone.

It's likely that Paramount Studios won't be part of the deal. It will be sold to Skydance.

Skydance doesn't want broadcast. That might go to WBD.

So what are they getting? The cable channels? Talk about a value destructive deal if ever there was one.

They might as well sell off CBS to Nexstar and call it a day.

With THIS DOJ and FTC and FCC? That's a big fat nada.

From the Hollywood Reporter:

And in the event of a breakup, WBD would surely look at CBS and its news and sports divisions, which could tuck in nicely with its existing assets (CNN and CBS News previously had merger talks back in the early 2000s), and bring the NFL and a broadcast network to the company, something it currently lacks.

From the Hollywood Reporter:

Remind me how the Standard General buyout of Tegna went... or Meredith Media General...

Just because Wall Street Brain Rot yearns for something in this present day doesn't mean it will come to pass. They don't hold a magic wand to make this disgusting wishcasting come true.

I thought they were getting all their cable channels (and streamer) as well?
Who knows? Or cares? The funniest thing will be in the end that Shari doesn't agree to a deal, which would be a perfect exclamation point to this wishcasting in the trades and on Wall Street.
