WELE-AM 1380 Ormond Beach will not go silent

Under an interim agreement, local programming at radio station WELE-AM 1380 will not go silent, although local radio talk-show host Big John has not yet acquired the station's license.

"We have entered into a business agreement with Wings Communication (Doug Wilhite's company and current licensee of WELE)," John said. "Wings remains responsible for policies. I am responsible for programming and covering costs."

Wings Communications was dissolved by the state of Georgia on 8/20/2010 for not having a registered agent in Georgia. As a result, they have also lost their business license in Florida. Since there is no longer a Wings Communications, how can the FCC renew their license and approve the deal that Big John has made with the non-existent Wings Communications to have the license reassigned to him? Also, the travel and shop show has re-emerged with no apparent license for selling travel in the state of Florida. Wings lost their seller of travel license (although they are no longer even an entity) and there is nothing on record with the state for either Big John or Angie.

Dancer,

Your post made me curious enough to check out the Florida database of corporations. Wings
Communications corporation was indeed revoked by the state of Florida on 9/24/2010.

Whatever in the heck they're doing, they are doing with no corporation. Wings ceased to exist
in the eyes of the state on Sept. 24.

The corporate charter revocation only means the officers, directors and shareholders of the now disolved and defunct Wings Communications, Inc. are personally liable for all former corporate business activities. In other words the Wings Communications, Inc. officers, directors and shareholders are no longer personally protected by the corporation. The sale to Goliath Radio, LLC can still go through once the FCC approves the license transfer.

I will further expound by saying Wings Communications, Inc. can be easily resurrected by 1) designating a Georgie resident with a Georgia physical street address to hold office as Registered Agent for the corporation within the State of Georgia and pay the appropriate Georgia Registered Agent Designation fee; 2) pay all past due corporate franchise fees that may be owed to the State of Georgia; 3) provide evidence to the Secretary of the State of Florida from the State of Georgia said Georgia corporate status is once again "Active"; and, 4) pay all corporate fees due to the State of Florida for recognizing and authorizing Wings Communications, Inc. to legally operate within the State of Florida as a Foriegn Corporation, including designating a Florida Registered Agent and paying all applicable Registered Agent Designation fees to the State of Florida.

Once all these matters have been addressed and cleared, Wings Communications, Inc. will once again have Active status which will make things much easier for the FCC since Wings Communications, Inc. (A Georgia Corporation) is the actual WELE-AM Licnsee.

That makes sense, Mark. Thanks for the clarification.

I really hope things can be cleaned up so that WELE survives.

On the other hand, if WELE were to go dark and the license were to be permanently deleted, how many other stations would be able to upgrade as a result?

1370/Ocala?
1380/St. Petersburg?
1390/Gainesville?

Others?

WOCA-AM 1370 Ocala can already upgrade to 10kw ND from its existing tower with WELE on the air. Whether or not it can uncrease to 25kw or 50kw is doubtful even if WELE is no longer of concern due to WWMI-AM 1380 Saint Petersburg and possibly WCGL-AM 1360 Jacksonville and WHNR-AM 1360 Cypress Gardens.

So who actually is licensed to keep WELE on the air? Wings Communications which held the WELE FCC license has been dissolved by the State of Georgia and at least according to the FCC site, Goliath Radio/Big John has not yet been approved.

The stockholders, officers and directors of the former Wings Communications, Inc. are responsible for the license. The fact that the corporate entity holding the license has been dissolved only means the stockholders, officers and directors have lost their respective immunity and corporate protection. Each person who held the position of stockholder, officer and director are now personally liable for the activities of the radio station license.

They STILL don't have the relicense from '04. I still wonder if it's cause of their disregarding the tower lights that were not fixed for so long back in the early in '02.

You can bet there are strange things going on inside which they are keeping quiet. The old WELE Wings sign has been replaced some months ago with one that says Goliath Radio 1380 with no WELE visible anywhere outside. And that's a good and smart thing. BJ will change those calls as soon as he can once and if he gets possession. He ought to get the old ones they had in the '70's WDAT.

And what's going on now with The Crow suit?
