FOX/Disney deal

I think Lachlan sees the writing on the wall that Fox News can't put all of it's eggs in Trump's basket. It might work short term but Trump won't be in office forever. They need to move away from the Trump humping if they want to remain a "news" outlet.

What's your thoughts: Will Disney be fine with the FX branding? For those that remember, it started off as "FX: Fox Gone Cable", but now the networks are under Disney ownership. It's more in the ABC family than FOX family. The FX look though still is very much like FOX. Maybe Disney could replace the F for a D, FX, FXX FXM, FX+ to DX, DXX, DXM and DX+

They won't change it, at least not for a few years if they do. They are going to keep the Fox naming so why would they change anything.

For outside the USA Disney's sports division is called Fox Sports. This is while Disney names its U.S. Sports division as ESPN though. It's kind of like when Disney names its international channels as "Fox Broadcasting Company" when they are airing ABC and Fox content for outside the USA audiences while Disney names its US broadcasting outlet as ABC though due to ownership reasons and that the Murdochs have the Fox name for the USA.

Now close to three months after the Disney/Fox Deal there was a legal case where Disney and Fox had to face allegations in a Netflix suit where Disney's 20th Century Fox division was poaching staff members.



A Los Angeles Superior Court judge rejects Netflix's view that Fox's employment contracts are tainted with illegality.
In the past decade, Netflix has become a powerhouse in the content industry. The company has transformed itself from a DVD-mailer service to a $156 billion corporate giant that creates popular shows such as Stranger Things and Orange Is the New Black and streams this content to an ever-growing audience around the world. Now, however, Netflix may be in for a reckoning.

On Wednesday, a Los Angeles Superior Court became the scene of a consequential fight between 20th Century Fox Film and Netflix. In reality, thanks to Rupert Murdoch selling studio assets, this legal battle pits Netflix against Disney, which is priming its own streaming service for launch later this year.

Back in 2016, Fox filed suit against Netflix for recruiting production executive Tara Flynn (who worked on prestigious shows including Showtime's Homeland and FX's The Americans) and marketing executive Marcos Waltenberg (who primarily was responsible for activity in Latin America). Fox alleged that Netflix induced these executives to break their contracts to join Netflix.

Netflix, in response, brought counterclaims alleging these employment contracts were tainted with illegality, that they were disguised non-competes in violation of California law, that they contained impermissible injunction relief provisions to the detriment of Fox's competition and that the "take-it-or-leave-it" contracts for Fox's workforce should also be voided because when successive agreements are added together, the results flouted California's limitation on personal service contracts beyond seven years.

Here is an Update over the Sinclair RSN Deal as a result of Fox divesting RSN's to Disney. Its going to be reviewed by Congress on July 8th.


A trio of Democratic Senators/presidential candidates has asked both the FCC and Justice Department to take a hard look at Sinclair's purchase of Disney's (formerly Fox's) 21 regional sports networks (RSNs), saying they are worried both about Sinclair combining the RSNs with its TV stations to raise the price of carriage for the latter, and about the "danger" of Sinclair's "partisan political" programming getting a wider audience.

That came in a letter to both DOJ antitrust chief Makan Delrahim and FCC Chairman Ajit Pai from Sens. Elizabeth Warren (Mass.), Cory Booker (New Jersey) and Bernie Sanders, a Vermont independent who caucuses with the Dems.

Another change coming to Disney as a result of the 20th Century Fox Deal.

Disney Television Studios has named Jonnie Davis president of ABC Studios, amid a restructuring in the wake of the Disney-Fox merger that has resulted in the displacement of current head Patrick Moran and ABC Studios executive vice president Howard Davine.

Moran and Davine were both well liked, according to a person familiar with the matter, but Disney TV Studios president Craig Hunegs wanted to infuse ABC Studios with “new blood.”

In an internal memo that Hunegs sent to staff, he acknowledged that “change can be difficult in the short term,” and that “Dana (Walden) and I will do our best to communicate with you often, with transparency and clarity.”

Succeeding Davis is Carolyn Cassidy, who has been upped to president of creative affairs at 20th Century Fox Television, and will run the studio with current president of business operations Howard Kurtzman. Cassidy was most recently executive VP of current programming.

EXCLUSIVE: Chloe Dan is stepping down as SVP of Drama Development at 20th Century Fox TV, a position she’s held for the past two years. She joined the studio in 2014.

Dan, a respected executive who joined 20th TV in 2014, is said to be leaving on good terms. Her exit is not part of executive changes by new 20th TV President of Creative Affairs Carolyn Cassidy, and no other immediate departures are expected, I hear.

Dan, who was promoted from her role as VP drama development to SVP and head of the department in 2017, shepherded such series as NBC’s flagship drama This Is Us, The Resident, Fox’s second most watched drama series behind 9-1-1, and most recently the upcoming Filthy Rich and neXt at Fox Entertainment. Other dramas whose development she oversaw include The Passage, Proven Innocent, The Gifted, Pitch, 24 Legacy and Minority Report, all at Fox.

Chloe Dan Has left Disney.

NEW YORK (AP) — Elizabeth Gabler, whose Fox 2000 produced acclaimed literary adaptations like “Life of Pi” and “Hidden Figures” before being axed in the aftermath of the Walt Disney Co. acquisition, has found a new home at Sony Pictures.

Sony on Monday announced a new production deal with the former Fox 2000 president and her entire Fox 2000 team. In the new multiyear venture, Gabler will develop and make movies for the studio beginning later this summer. The partnership also includes HarperCollins, whose catalog Gabler will mine for projects.

More changes at play at Walt Disney as another person from 20th Century Fox is removed. In this case Elizabeth Gabler is moving from Disney to Sony Studios.

Here is the other shoe to drop due to the Disney/20th Century Fox deal earlier in the year

Earlier this year Disney took control of 21st Century Fox. Now Disney has reportedly killed most Fox films that are still in development. The exceptions are “Avatar”, “Planet of the Apes”, and Fox Searchlight movies according to reports. This comes as Disney had a bad 3rd quarter at the box office and reported a $170 million operating loss.

Disney also announced that Fox’s superhero titles would be moving forward under the stewardship of Feige. Disney reportedly was very upset with the “Dark Phoenix” movie flop that represented the last chapter of the current X-Man franchise. The film cost $200 million to make but only made $65 million domestically.
 
The clock is ticking fast on the RSN's. Over half the NBA and NHL teams have yet to announce a full TV schedule, because they have no idea what it is. Fox Sports still plans to close up shop regionally on Sept. 30. Disney has made no indication if they plan to extend the agreement to licence the Fox Sports name beyond that. Sinclair doesn't seem to be able to quite close the deal - again. If the government does not ultimately approve the deal, and it falls through, Disney could very well go to the DOJ, and say, "We tried....really", and try going full steam with an ESPN expansion.

AN Update Sinclair has taken over Fox SPorts Regional edition

Sinclair Broadcast Group and the Walt Disney Company have closed their $9.6 billion deal for Sinclair to buy 21 Fox Regional Sports Networks and Fox College Sports.

The deal was announced in May after Disney bought the networks as part of its acquisition of Twenty-First Century Fox. The portfolio, which excludes the YES Network, is described as the largest collection of RSNs in the marketplace and includes exclusive local rights to 42 professional teams consisting of 14 Major League Baseball (MLB) teams, 16 National Basketball Association (NBA) teams, and 12 National Hockey League (NHL) teams.

Another set of cuts coming to Disney as a result of the takeover of 20th Century Fox.

In the further wake of its acquisition of 21st Century Fox’s entertainment portfolio, Disney has laid off nearly 60 employees, Variety has learned, within its Media Distribution division, impacting those within both Disney and Fox.

Counted among those layoffs are 20th Century Fox TV Distribution’s worldwide marketing executive vice president Greg Drebin and 20th Century Fox Home Entertainment’s worldwide marketing and strategy senior vice president Jennifer Chai, according to a source familiar with the situation.

Drebin had been promoted to his most recent position at 20th, up from senior vice president, early in 2018.
 
Their long term debt has more than doubled, from $17 billion to $36 billion. However, their market cap, based on share price, is $247 billion. So they've got the debt covered.

And the 2018 net income was nearly $10 billion. They probably get very low interest rates on the debt as the company is so highly rated, so the interest is likely well under $2 billion a year, and they can easily amortize the principal, thus reduce the interest each time.
