ENTERCOM ENTERS INTO DEFINITIVE EXCHANGE AGREEMENT TO ACQUIRE NASH FM 94.7 IN NEW YORK AND TWO STATIONS IN SPRINGFIELD, MA

PHILADELPHIA, PA – February 13, 2019 – Entercom Communications Corp. (NYSE: ETM), a leading media and entertainment company and one of the two largest radio broadcasters in the United States, today announced a definitive agreement to acquire NASH FM 94.7 in New York City, and two stations in Springfield, MA from Cumulus Media Inc. (Nasdaq: CMLS) in exchange for Entercom’s three-station cluster in Indianapolis. The transaction is immediately accretive to Entercom.

“We are excited to add NASH FM 94.7 to our outstanding lineup in New York City and to add WMAS and WHLL to our cluster in Springfield. These additions will enhance our ability to serve our listeners, partners and communities,” said David Field, Chairman, President and Chief Executive Officer, Entercom. “We are saddened to part ways with our colleagues in Indianapolis, but know that they will be in great hands.”

The acquisition of NASH FM 94.7 in New York is a complementary addition to Entercom’s existing portfolio in the #1 media market in the country. Entercom’s portfolio currently includes 1010 WINS and WFAN, the #1 most listened to all news station and sports station in the U.S., respectively, as well as WCBS-FM 101.1, WCBS 880, ALT 92.3 and New 102.7 FM.

The parties will begin programming the respective stations being acquired under Local Marketing Agreements on Friday, March 1, 2019. The exchange transaction is expected to close in the second quarter of 2019.
 
That leaves Cumulus with just one low-rated FM and one dreadfully rated AM in market #1. Do I, perhaps, smell an additional transaction on the horizon?
 
And Cumulus sold WPLJ to EMF....rest in peace PLJ. No Soft AC, but more Christian stuff...
 
Doesn't Cumulus still own Radio 103.9 WNBM, or did I miss that in a transaction somewhere?

Yes, they do.

But the bigger question is:what do they do with WABC?

It has no future as a stand-alone tied to a semi-suburban Class A FM.
 
So sad that EMF will put some crap Christian music box that's also on hundreds of other stations on such a great signal. Meanwhile, Entercom gets signal challenged 94.7. I grew up listening to WPLJ, back when it was Rock. Then kinda stuck with it when it went pop. But I guess it's over now. :(

My speculation as a hobbyist:

NASH-FM will be essentially the same with some minor tweaks.

Christian music and the WKLV calls will come to 95.5 FM. Cumulus will park the WPLJ calls in a small market. The station now at 96.7 HD2 will move to 96.7 HD1 with different calls.
 
I'm sure Entercom will keep Nash Country. It's a good format for that limited/suburban signal. They also got a gift for 102.7 now that WPLJ will be gone. I'm sure it will be status quo.

But, will EMF keep WKLV Port Chester and it's translators. Something for one of their other services?

No. LMAs count against the cap. Entercom owns 6 in NYC. They can own 8.

An LMA is "rent to own" like the furniture places, but with more "0's" in the check.

To the listeners who like Contemporary Christian, it is not "crap".

The fact that it is a national "network" is of no consequence, any more than thinking that CBS, ABC, NBC, Univision, et. al. should originate all local programs.
 
With Entercom buying WNSH and WMAS, that opens the door of cutting the power at WMAS to move the antenna of WNSH further east.

Agreed - and I also suspect Cumulus will be existing the Washington market soon. There, all they'll be left with is WMAL AM & FM. Granted, WMAL is in much better shape than WABC!

Will be interesting to see if the "Nash" name survives in New York. I suspect it will not.

Will Cumulus sell its Detroit stations to Beasley next? I think their remaining stations in Atlanta might also be on the block; Entercom would be the logical buyer for those properties.
