Why is this in national radio? Although both companies once owned radio, neither do any more.

I thought this is the more read section, and the news is of broader than just TV interest. And the sale of CBS radio is likely one of the things that made making this deal possible.
 
If CBS does get Viacom, now the Redstones would not agree with this. I would bring TV Land, Comedy Central, Paramount Net, and the main MTV, and Nick into the fold. Sell off the rest of it.

The plan is for Bob Bakish of Viacom to run the combined company. What it does is give Viacom access to the content that was the basis for the company in the first place, namely the CBS TV content that is now in CBS Television Distribution. That means a lot of old TV copyrights. For example it reunites Star Trek TV with the Star Trek movies.

You mentioned Discovery Communications. CBS and Discovery were about the same size before. This now makes such a purchase more possible. So perhaps Shari is looking to use the equity in the combined company to make an additional purchase.

Viacom has a lot of dead weight that should be shed off. Merge the profitable channels into CBS All Access and bolster the streaming side.

That may happen. They already identified some cable channels (CMT for example) as less important than Nick. The problem is what to do with them. They're only useful as a group.

I would like to know AT&T will react to the CBS/Viacom deal given that there is no confirmed deal between CBS and AT&T as of this posting. Who knows if AT&T will shut down the Viacom outlets too because of the CBS/AT&T dispute and the VIacom outlets could be run by same leader when the deal is finalized.
 
The current carriage disputes are unlikely to be relevant. It will be months before the deal is formalized and closed, and surely the carriage disputes will be solved by then.

CBS and Viacom reported earnings on Thursday — and refused to discuss what everyone wanted to know: the status of their merger plans.

“We will not be responding to questions or comments regarding potential M&A,” reps from Viacom sternly noted at the top of their third-quarter earnings call. Likewise, a CBS official warned that executives would “not be commenting on speculation” about the deal on its earnings call.

Despite the dearth of details, sources with direct knowledge of the deal said the merger could be announced within days.

Holding up the process are negotiations over the exchange ratio, or the number of new shares that will be given to shareholders of a company that is being acquired — in this case, Viacom, they said.

The last sentence is the key. CBS is acquiring Viacom. CBS market cap is $18.8 billion while Viacom's is $12.7 billion. My sense is that the multiple will be around 1.3 Viacom shares for CBS stockholders. Of course the Redstones own controlling shares in both companies.

Here is another update on the CBS/Viacom talks

Board members of CBS and Viacom worked most of the weekend in an effort to reach a long-awaited merger agreement for the two halves of the Redstone media empire.

Sources close to the situation said the sides have made progress since Friday in hashing out some of the final details in the tie-up between the media conglomerates that are both controlled by the Redstone family’s National Amusements holding company. An agreement in principle could be announced as early as Monday although sources cautioned that with negotiations extending late into Sunday evening an early morning announcement before the market opens on Monday might be ambitious. Nonetheless, multiple sources close to the situation expressed optimism that the deal would cross the finish line after the third try in as many years.
 
What happens to National Amusements if something happens to Shari.

Good question. I have never seen that question asked before, let alone answered.
